Terms for Authorized Users

The purpose of this Exhibit is to define the terms of use of the Software specified in the Agreement (as defined in the MSA) for Authorized Users. All capitalized terms not otherwise defined herein shall have the meanings set forth in the Agreement. Authorized Users is also referred to as “they” in this Exhibit.

 

1.   ACCOUNT REGISTRATION AND ACCESS TO SERVICES

Customer acknowledges and agrees that:

  1. Customer is required to designate a set of Authorized Users who can access the Software through the account created for the sole purpose of using the Software. Customer shall provide to Partium the list of Authorized Users with a valid email address and specifying the account permissions of each such user.

  2. Their access to and use of the Software or aspects thereof are limited by their account permissions.

  3. Customer is solely responsible for any activity that occurs through their account.

  4. For Partium to provide the Customer the best possible service, customer agrees to provide Partium with complete, accurate, and updated information for the account of the Authorized User at all times and for maintaining the entire list of Authorized Users under this Agreement. Incorrect or outdated information may lead to errors or delays, for which Partium will not be responsible.

  5. Customer is solely responsible for maintaining the security of their accounts and login credentials. Customer shall never publish, distribute, or post login information for their accounts.

  6. Partium is not liable for any damages or loss caused from any unauthorized account actions. For the avoidance of doubt, Customer is responsible for maintaining the confidentiality of the Authorized User login, password, and account, and for all activities that occur under their login or account, including any consequence resulting from Customer’s failure to do so. Please notify Partium immediately if you become aware of any unauthorized use of their account.

 

2.   CONDUCT AND MISUSE

In addition to your obligations pursuant to Section 3 “Customer Obligations and Responsibilities” and Section 4 “Restrictions on Use” of the MSA, Customer shall not permit any Authorized User (unless explicitly permitted in the applicable Schedule) to:

  1. access or attempt to access the Software by any means other than the interface Partium provided or authorized;

  2. share their account information (except with an authorized account administrator) or use another person’s account;

  3. bypass, circumvent, or attempt to bypass or circumvent, any measures Partium may use to prevent or restrict access to the Software, including without limitation other accounts, computer systems, or networks connected to the Software;

  4. take any action that imposes or may impose (as determined by Partium in its sole discretion) an unreasonable or disproportionately large load on its or its third-party providers’ infrastructure;

  5. use or share content or engage in behavior that violates anyone’s intellectual property rights;

  6. upload or share any content that is unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, vulgar, lewd, profane, invasive of another’s privacy, or hateful;

  7. impersonate any person or entity, or falsely state or otherwise misrepresent their affiliation with a person or entity;

  8. attempt to disable, impair, or destroy the Software;

  9. use the Software to upload, post, transmit, or otherwise make available any software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware;

  10. publish anyone’s identification documents or sensitive financial information, or any personal information of third parties without the third party’s consent;

  11. upload, post, transmit, or otherwise make available any content, that they do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

  12. violate these Terms or any applicable law; or

  13. collect or store personal data about other users in connection with any of the prohibited conduct and activities set forth above.
